  28.                ESCROW AGREEMENT AND INSTRUCTIONS

  31. @001, referred to herein as "PRINCIPALS" herewith request that
  32. @002, referred to herein as "ESCROW AGENT" establish an escrow
  33. of the following described items, and dispose of them as is
  34. provided herein.

  37. PRINCIPALS herewith deliver the following items to be held by
  38. ESCROW AGENT:

  44. Any cash funds or cash proceeds shall be deposited by the ESCROW
  45. AGENT in an interest bearing account, in institutions which are
  46. federally insured for deposits in the amount of the ESCROW, or in
  47. direct obligations of the United States of America, including
  48. treasury bills or notes with maturity dates coinciding with any
  49. distributions to be made hereunder. In the event that non-cash
  50. items are deposited, the ESCROW AGENT shall maintain such items
  51. in the condition in which they were received.

  54. ESCROW agent shall release the funds and items upon the receipt
  55. of instructions from @004, reciting the following:

  67. said instructions shall be sworn or provided under penalties of
  68. perjury.

  71. In the event that instructions are not received on @007, ESCROW
  72. agent shall close the escrow and return the amounts to the
  73. parties depositing or providing them originally, and shall then
  74. be absolutely discharged.

  77. Upon receipt of such instructions and complying with the same,
  78. ESCROW agent shall be discharged as to the amounts so paid.
  79. ESCROW agent shall be absolutely discharged upon such payment and
  80. may rely solely and totally upon such certifications. ESCROW
  81. agent shall not be required to make any independent verification
  82. of the correctness of any instructions or the occurrence of any
  83. required conditions precedent and shall rely solely on
  84. certifications received as provided herein.

  87. In the event of the receipt of conflicting instructions prior to
  88. discharge of the ESCROW agent, ESCROW AGENT shall commence an
  89. arbitration before a single arbitrator acceptable to ESCROW AGENT
  90. under the rules of the American Arbitration Association, whose
  91. decision shall be final. Upon receipt of a final decision from
  92. the arbitrator, the ESCROW AGENT shall comply therewith and upon
  93. such compliance shall be discharged from all further liability.
  94. The decision of the arbitrator shall be final, and may be reduced
  95. to judgment by any party hereto or the escrow agent.

  98. PRINCIPALS shall indemnify ESCROW AGENT for all actions taken in
  99. compliance with this agreement.

  141. ESCROW AGENT is solely acting as a neutral stakeholder and the
  142. PRINCIPALS agree that there are no intended third party
  143. beneficiaries or parties other than PRINCIPALS to this agreement.

  162. overnight delivery service providing a receipt. Notices sent by
  163. certified mail shall be deemed received within one working day
  164. after first notice to the recipient for pick up, or when
  165. received, whichever is earlier. Notices sent by overnight
  166. delivery service shall be deemed received the next business day.
